End-User License Agreement (EULA)

1) Acceptance of Terms

By downloading, installing, accessing, or using Digio (the "Software"), you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, do not use the Software.

Mission Mobile Medical, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use the Software in accordance with this EULA and any applicable service agreements. This license is for your internal business use only.

You retain ownership of your data entered into the Software. Mission Mobile Medical owns the Software, including all intellectual property rights. You grant us a license to use your data to provide the Software services and as described in our Privacy Policy.

5) User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use of your account.

6) Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Software. We may perform maintenance, updates, or modifications that temporarily affect service availability.

7) Updates and Modifications

We may update or modify the Software at any time. Updates may be automatically installed. Continued use of the Software after updates constitutes acceptance of the modified Software.

8) Third-Party Services

The Software may integrate with third-party services (HubSpot, QuickBooks, Microsoft Teams, etc.). Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services.

9) Privacy

Your privacy is important to us. Our collection and use of information is governed by our Privacy Policy, which is incorporated into this EULA by reference.

10) Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MISSION MOBILE MEDICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE.

12) Indemnification

You agree to indemnify and hold harmless Mission Mobile Medical from any claims, damages, or expenses arising from your use of the Software, violation of this EULA, or infringement of any rights of another party.

13) Termination

This EULA is effective until terminated. We may terminate your license immediately if you breach any terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

14) Export Compliance

The Software may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations.

15) Governing Law

This EULA is governed by the laws of North Carolina, USA, without regard to conflict of law principles. Any disputes will be resolved in the courts of Guilford County, North Carolina.

16) Severability

If any provision of this EULA is found to be unenforceable, the remaining provisions will remain in full force and effect.

17) Entire Agreement

This EULA constitutes the entire agreement between you and Mission Mobile Medical regarding the Software and supersedes all prior agreements and understandings.

18) Changes to This EULA

We may update this EULA from time to time. We will notify you of material changes by posting the new EULA on our website. Your continued use of the Software after changes become effective constitutes acceptance of the updated EULA.

19) Support

Support for the Software is provided according to our current support policies. Support is not guaranteed under this EULA and may be subject to separate agreements.
